Upstream: Sustainable Oils, LLC

• The Feedstock (Camelina): Sustainable Oils is the world’s leading developer of Camelina sativa, a fast-growing oilseed crop from the mustard family. Camelina has a high oil content (approximately 35-40%) and is rich in omega-3 fatty acids.
• Agronomic Benefits: Camelina is grown as a “cover crop” or “rotation crop” on dryland acres during fallow periods (primarily in the U.S. Great Plains, Rocky Mountains, and parts of Europe/South America). It requires minimal water and fertilizer, does not displace food crops, and improves soil health.
• Intellectual Property: Sustainable Oils owns an extensive portfolio of patents and intellectual property related to camelina varieties. These varieties are engineered for herbicide resistance, higher oil yield, shorter growing cycles, and drought tolerance.
• Farmer Network: GCEH contracts directly with farmers, providing them with proprietary seed and purchasing the harvested grain back at guaranteed prices.

Downstream: Refining

The crude camelina oil extracted from the seeds is transported to GCEH’s downstream refining asset—the Bakersfield Renewable Fuels (BKRF) facility—to be hydrotreated into drop-in renewable diesel, renewable propane, and renewable naphtha.

Key Assets and Subsidiaries

1. Bakersfield Renewable Fuels, LLC (BKRF): The physical refinery asset located in Bakersfield, CA. It is designed to produce 15,000 barrels per day (approx. 210 million gallons per year) of renewable diesel when fully operational.
2. Sustainable Oils, LLC: The agricultural biotechnology arm responsible for camelina seed breeding, commercialization, and grower contracting.
3. Camelina Company España (CCE): GCEH’s European subsidiary based in Spain, which spearheads camelina production, agricultural trials, and grower networks across Europe.

Current Financial and Strategic Outlook

While GCEH’s vertical integration model has won praise from environmental policy analysts, the company has faced severe financial and operational headwinds in its transition from an R&D/agricultural firm to an active energy producer:

• Capital Constraints and Debt: The delayed startup of the Bakersfield refinery has starved the company of anticipated revenue, leading to highly leveraged debt structures. GCEH has relied on expensive financing agreements, restructuring its debt multiple times to prevent foreclosure on the Bakersfield asset.
• Contract Disputes: The company has been locked in complex legal battles with its engineering and construction contractors over project delays, change orders, and cost overruns at the Bakersfield site.
• ExxonMobil Relationship: In 2020, ExxonMobil invested directly in GCEH and signed a 5-year agreement to purchase 2.5 million barrels of renewable diesel per year (later expanded to 5 million barrels). However, due to the construction delays, ExxonMobil exercised its right to terminate the offtake agreements, representing a significant strategic setback for GCEH.
• Pivot to Alternative Offtakers: GCEH continues to work toward finalizing alternative commercial agreements for its fuel once the Bakersfield refinery achieves consistent, commercial-scale production.
