Caturus LNG Holdings LLC is the dedicated intermediate holding entity for the LNG export business within the Caturus group, sitting directly between Caturus HoldCo LLC and the operating project entity, Commonwealth LNG LLC. It was formerly known as Commonwealth LNG Holdings LLC before the broader Caturus rebrand in August 2025.

Its sole purpose is to hold 100% of Commonwealth LNG LLC and to serve as the legal conduit through which the Commonwealth LNG project's regulatory authorizations, financing arrangements, and commercial agreements flow from the parent Caturus platform to the operating entity. According to a September 2025 DOE filing, Commonwealth LNG LLC was confirmed to be 100% directly owned by Caturus LNG Holdings LLC following the corporate reorganization triggered by Mubadala Energy's investment. Caturus LNG Holdings LLC itself is 100% owned by Caturus HoldCo LLC.

As a pure holding vehicle, Caturus LNG Holdings LLC has no independent operations, employees, or commercial activities of its own. Its significance lies in providing a legally clean and financing-compatible ownership structure for the $9.75 billion Commonwealth LNG project financing, isolating the LNG project's balance sheet and liabilities from the upstream E&P operations of Caturus Energy LLC.
