SK Innovation Co., Ltd. (SK이노베이션 주식회사) is SK Group’s intermediate holding company for energy and chemicals, listed on the Korea Exchange and majority-owned by SK Inc. Following its merger with sister affiliate SK E&S on 1 November 2024, it has repositioned itself from a refining-and-petrochemicals holding company into an “integrated energy” business spanning the full hydrocarbon value chain: crude oil refining, petrochemicals, lubricant base oils, LNG import and regasification, city gas distribution, power generation, upstream exploration and production, and — somewhat unusually for an oil company — electric vehicle batteries through its subsidiary SK On. Its physical anchor is the Ulsan complex in South Korea’s southeast, one of the largest refining and petrochemical sites in the world.
Company History
The company’s roots make it the oldest oil refiner in South Korea. It was founded in October 1962 as Korea Oil Corporation, a state-owned enterprise that built and operated the country’s first refinery at Ulsan from 1964. In 1980 the company was privatized and acquired by the Sunkyong Group — the predecessor of SK — and renamed Yukong. It took the name SK Corporation in 1997 when the group rebranded.
Two restructurings define its modern form. In 2007, SK Corporation adopted a holding company structure, separating into SK Holdings (today’s SK Inc.) above and an operating company, SK Energy, below. Then, in January 2011, SK Energy was itself converted into a holding company and renamed SK Innovation, spinning out its operations as three wholly owned subsidiaries: SK Energy (refining and marketing), SK Global Chemical (petrochemicals, renamed SK Geo Centric in 2021), and SK Lubricants (base oils, later renamed SK Enmove).
The following decade was defined by diversification and spin-offs. The separator business was carved out as SK IE Technology in 2019 and listed in 2021; the battery division — built on R&D dating to the 1990s — was spun off as SK On in October 2021; and the upstream E&P arm became SK Earthon in the early 2020s. The most recent transformation came in November 2024, when SK E&S — the group’s LNG, city gas, power, and hydrogen arm — was merged into SK Innovation, with SK Innovation as the surviving entity. Around the same period, SK On absorbed SK Trading International and terminal operator SK Enterm, and further consolidation among the subsidiaries has been reported since. This restructuring has been rapid and ongoing, so the current configuration should be verified against recent filings.
Activities
Post-merger, SK Innovation’s portfolio covers four broad areas:
- In refining and chemicals, SK Energy operates the Ulsan CLX (crude capacity of roughly 840,000 barrels per day), SK Incheon Petrochem runs the Incheon refinery with its aromatics production, and SK Geo Centric produces olefins and polyolefins while pursuing advanced plastic recycling projects at Ulsan.
- In LNG and power — the legacy SK E&S businesses — the company holds LNG supply positions and stakes in liquefaction and gas field projects (including the Barossa project in Australia), distributes city gas through regional affiliates, operates LNG-fired power generation, and is developing hydrogen and renewable energy.
- In lubricants, SK Enmove is a leading global producer of Group III base oils.
- In batteries, SK On manufactures EV cells in Korea, China, Hungary, and the United States, including the BlueOval SK joint venture with Ford. SK Earthon retains upstream oil and gas positions.
