Cameron LNG Holdings, LLC is the intermediate holding company of the Cameron LNG group, incorporated in Delaware on May 10, 2013, and established exclusively to consolidate the equity ownership interests of the four joint venture partners in the Cameron LNG liquefaction and export project. It sits directly above the operating company, Cameron LNG, LLC, of which it is the 100% direct parent, and serves as the legal vehicle through which the partners exercise their respective governance, economic, and board rights over the facility.

The company has no independent operational activities or employees of its own. Its sole purpose is to hold the shares of Cameron LNG, LLC and provide the structural separation between the JV partners — each of whom holds their stake at the Holdings level through their own dedicated investment vehicles — and the regulated operating entity beneath it. This architecture is standard in U.S. LNG project finance, as it preserves the regulatory integrity of the operating company while allowing ownership interests to be transferred, refinanced, or restructured at the holding level without triggering FERC or DOE consent requirements at the operating company level.

The four equity partners and their respective stakes at Holdings level are: 

• Sempra Infrastructure (50.2%)
• TotalEnergies via Global LNG North America Corp. (16.6%)
• Mitsui & Co. via Mitsui & Co. Cameron LNG Investment LLC (16.6%)
• Japan LNG Investment LLC (16.6%) — a 70/30 joint venture between Mitsubishi Corporation and Nippon Yusen Kabushiki Kaisha (NYK Line).
